1. Agreement and eligibility
By creating an account, accepting an order form, or using the service, you agree to these terms on behalf of yourself and, where applicable, the organisation you represent. You confirm that you have authority to bind that organisation and are legally able to enter the agreement.
If an order form, data processing agreement, or other signed agreement conflicts with these terms, the signed agreement controls for that conflict.
2. The service
Prepacity provides capacity-aware scheduling, operational planning, customer self-service, reporting, and integrations with supported commerce platforms. Features may vary by plan, region, connector, or release stage.
We may improve or change the service. If a change materially reduces paid core functionality, we will provide reasonable notice where practical.
3. Accounts and merchant responsibilities
- Provide accurate account, product, workload, schedule, location, and fulfilment information.
- Keep credentials and connector secrets confidential, use appropriate permissions, and notify us promptly of suspected unauthorised access.
- Obtain the rights and notices needed to send customer and order data to Prepacity.
- Review availability, operational output, overrides, and connected-platform behaviour for your business.
- Use the service only for lawful business purposes and follow applicable consumer, employment, delivery, tax, and data-protection laws.
4. Acceptable use
You must not misuse Prepacity or help anyone else do so.
- Do not probe, disrupt, overload, bypass, or compromise the service or its security controls.
- Do not introduce malicious code, scrape at unreasonable volume, or access data or accounts without authorisation.
- Do not reverse engineer the service except where the law does not allow that restriction.
- Do not use the service to violate rights, send unlawful communications, or process prohibited or unnecessarily sensitive data.
5. Plans, fees, and trials
Paid plans, usage allowances, billing periods, taxes, renewal terms, and cancellation rights are shown at purchase or in an order form. Except where law or the applicable order form says otherwise, fees are non-refundable.
Trials are provided for evaluation and may have limits. We may end or modify a trial, but will not convert it to a paid subscription without the authorisation described at sign-up.
6. Data, feedback, and intellectual property
You retain ownership of data you submit. You give Prepacity the limited rights needed to host, process, transmit, and display that data to provide and protect the service. Prepacity and its licensors retain all rights in the service, software, branding, documentation, and aggregated or de-identified insights.
If you provide feedback, we may use it without restriction or obligation, provided we do not identify you publicly without permission.
7. Availability, warranties, and liability
We work to provide a reliable service, but availability can be affected by maintenance, internet services, merchant configuration, connected platforms, and events outside our reasonable control. The service is provided subject to the warranties, service levels, disclaimers, and liability limits in your plan or signed agreement and to rights that cannot lawfully be excluded.
Prepacity supports operational decisions; merchants remain responsible for their products, staffing, fulfilment, customer promises, and review of service output.
8. Suspension, termination, and general terms
You may stop using the service or cancel as your plan permits. We may suspend access to address a security risk, unlawful use, non-payment, or material breach, and will provide notice where reasonable. On termination, access ends and data is handled under the agreement, retention settings, and applicable law.
Neither party may assign the agreement without the other’s consent except as part of a merger, reorganisation, or sale of substantially all relevant assets. Notices may be sent electronically. If one provision is unenforceable, the rest remains effective. Governing law and dispute terms are those shown in the applicable order form or signed agreement.
